Gift Card Transfer Agreement
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING OUR GIFT CARD RECYCLING SERVICES.
This Gift Card Transfer Agreement (the "Agreement") is entered into between you (the "Seller") and our platform (the "Buyer"). By submitting gift cards to our platform, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
1. Definitions
1.1 "Gift Card" refers to any prepaid card, voucher, or digital code with monetary value issued by a retailer, service provider, or other entity.
1.2 "Transfer" means the act of selling and transferring ownership of a Gift Card from the Seller to the Buyer.
1.3 "Platform" refers to our gift card recycling website and all related services.
2. Seller Representations and Warranties
By transferring Gift Cards to the Buyer, the Seller represents and warrants that:
2.1 The Seller is the lawful owner of the Gift Card and has the legal right to transfer it.
2.2 The Gift Card was obtained through legitimate means and is not stolen, fraudulent, or obtained through illegal activities.
2.3 The Gift Card has not been used, is fully activated, and has the full balance as represented by the Seller.
2.4 The Seller has not made copies of the Gift Card information and will not use the Gift Card after the transfer.
2.5 The information provided regarding the Gift Card, including its balance and validity, is accurate and complete.
3. Transfer Process
3.1 The Seller agrees to submit accurate Gift Card information, including card number, PIN (if applicable), and balance.
3.2 The Buyer will verify the Gift Card information and balance before completing the purchase.
3.3 Upon verification, the Buyer will pay the agreed-upon amount to the Seller according to the Platform's payment schedule.
3.4 Once the Gift Card information is submitted and payment is processed, the transfer is considered complete and cannot be reversed.
4. Payment Terms
4.1 The Buyer will pay the Seller based on the Platform's current exchange rates for the specific Gift Card type.
4.2 Payment will be made to the Seller's designated account after successful verification of the Gift Card.
4.3 The Platform reserves the right to delay payment if there are concerns about the Gift Card's validity or if additional verification is required.
4.4 If a Gift Card is found to be invalid, used, or fraudulent after payment, the Buyer reserves the right to reverse the payment and take appropriate legal action.
5. Prohibited Activities
The Seller agrees not to engage in any of the following activities:
5.1 Submitting stolen, fraudulent, or illegally obtained Gift Cards.
5.2 Providing false or misleading information about the Gift Card.
5.3 Using or attempting to use the Gift Card after transferring it to the Buyer.
5.4 Creating multiple accounts to circumvent Platform policies or limitations.
5.5 Engaging in any activity that violates applicable laws or regulations.
6. Liability and Indemnification
6.1 The Seller agrees to indemnify and hold harmless the Buyer and the Platform from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from the Seller's breach of this Agreement or any representations and warranties.
6.2 If a Gift Card is found to be fraudulent, stolen, or otherwise invalid, the Seller shall be liable for all losses incurred by the Buyer, including but not limited to the purchase price, processing fees, and any penalties imposed by third parties.
7. Account Suspension and Termination
7.1 The Platform reserves the right to suspend or terminate the Seller's account if:
- The Seller violates any terms of this Agreement
- The Seller submits fraudulent or invalid Gift Cards
- The Seller engages in suspicious or prohibited activities
- Required by law or regulation
7.2 Account suspension or termination may result in the withholding of pending payments and restriction from future use of the Platform.
8. Dispute Resolution
8.1 Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties.
8.2 If the dispute cannot be resolved through negotiation, it shall be resolved through arbitration in accordance with the applicable laws.
9. Modifications to the Agreement
9.1 The Platform reserves the right to modify this Agreement at any time by posting the updated version on the Platform.
9.2 Continued use of the Platform after such modifications constitutes acceptance of the updated Agreement.
10. Governing Law
10.1 This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform operates, without regard to its conflict of law provisions.
11. Acknowledgment
By submitting Gift Cards to the Platform, the Seller acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
